Terms of Service

1. Overview

These Terms of Service ("Terms") govern your access to and use of Bustly's websites, products, and services (collectively, the "Service"). "Bustly," "we," or "us" means Bustly and its affiliates. By creating an account, installing our app, connecting your store, or otherwise using the Service, you agree to these Terms.

If you are using the Service on behalf of a company, organization, or other entity, you represent and warrant that you have authority to bind that entity to these Terms.

2. Definitions

  • Account: Your registered profile to access the Service.
  • Merchant / you: The individual or entity using the Service for a commercial store.
  • Store Data: Product, order, inventory, pricing, catalog, listing, advertising, analytics, and other data we access from your store or connected platforms.
  • Customer Content: Content you submit or generate through the Service (e.g., prompts, settings, business rules, images, copy, bundles, offers, checkout links, and experiments).
  • Outputs: AI‑ or system‑generated results and actions (e.g., proposals, bundles, experiments, links, or reports).
  • Third‑Party Services: Platforms you connect (e.g., Shopify and apps, ad networks, analytics, email providers, payment processors).
  • Autopilot / Guardrails: Optional automation where you set limits (budgets, discounts, inventory allocation, SKU whitelists), and the Service executes within those limits.

3. Eligibility & Account

You must be at least 18 years old to use the Service. Provide accurate information and keep your credentials secure. You are responsible for activity under your Account.

4. Plans, Trials, Fees, and Taxes

We may offer free trials or free tiers. Paid plans are billed in advance on a subscription basis unless otherwise stated in an order form. Fees are non‑refundable except where required by law or expressly stated otherwise. You authorize our payment processor to charge your payment method for applicable fees, taxes, and charges. Listed prices exclude taxes; you are responsible for all applicable taxes.

Plan features, limits, and prices may change; material changes will be notified in advance.

5. License and Access

Subject to these Terms and payment of applicable fees, we grant you a limited, non‑exclusive, non‑transferable, revocable license to access and use the Service for your business operations.

You must not:

  • (a) reverse engineer or circumvent security
  • (b) use the Service to build a competing product
  • (c) misuse the Service to send spam or unlawful content
  • (d) infringe third‑party rights
  • (e) interfere with Service operation
  • (f) exceed plan limits or attempt to access without authorization

6. Acceptable Use (including AI Safety)

You will not use the Service to generate or distribute content that is illegal, harmful, deceptive, discriminatory, or infringes IP rights; to process regulated data without appropriate safeguards (e.g., health, financial account numbers, government IDs, biometric data); or to violate platform rules (e.g., Shopify policies, ad network terms). You are responsible for ensuring your promotions, pricing, consumer notices, and taxes comply with applicable laws.

7. Customer Content, Store Data, and Ownership

Between you and Bustly, you own Customer Content and Store Data. You grant Bustly a worldwide, non‑exclusive, royalty‑free license to host, copy, process, transmit, modify (for formatting), and display such data only as necessary to provide and improve the Service, to comply with law, and to prevent abuse or security incidents.

Unless we have a separate, signed agreement, we do not use your Customer Content or Store Data to train third‑party foundation models. We may use aggregated or de‑identified information to improve the Service and for analytics, provided it cannot reasonably identify you or your customers.

You are responsible for backing up your data and for the accuracy and legality of the data you provide.

8. Outputs and Your Responsibilities

Outputs may be generated by large language models and statistical systems; they can be imperfect, non‑unique, or incorrect. You must review Outputs (including proposed bundles, prices, offers, experiments, or links) and decide whether to publish, ship, or approve them. Bustly does not guarantee that Outputs will meet your legal, policy, or platform requirements, or will achieve certain results.

Subject to third‑party rights and these Terms, Bustly assigns to you any copyright we may have in unique Outputs generated for your store; however, you acknowledge Outputs may be similar to outputs provided to others.

9. Third‑Party Services and Integrations

The Service may integrate with Third‑Party Services (e.g., Shopify, apps, ad networks, payment processors, analytics). Your use of Third‑Party Services is governed by their terms, not ours. We are not responsible for Third‑Party Services, their data handling, or outages. You can enable/disable integrations at any time.

10. Autopilot, Limits, and Rollback

Some features allow limited automation within Guardrails you configure (e.g., max discount %, daily ad budget change caps, SKU/collection whitelists). You can require approvals for higher‑risk actions and may roll back actions where supported. You are responsible for choosing Guardrails and for monitoring your store.

11. Beta / Preview Features

We may provide features labeled alpha, beta, preview, or early access. They are provided as‑is, may change or break, and may be discontinued at any time. Use of Beta features is at your own risk.

12. Privacy, Data Protection, and Security

We implement reasonable technical and organizational measures to protect data. See our Privacy Policy for details. Where required, a Data Processing Addendum (DPA) is available upon request at support@bustly.shop. You acknowledge that data may be processed and stored in locations where we or our providers operate.

13. Support and Availability

We offer standard support via support@bustly.shop. The Service may be unavailable during maintenance, outages, or circumstances beyond our control.

14. Suspension and Termination

We may suspend or terminate your access if you materially breach these Terms, if required by law, or to protect the Service. You may cancel at any time; service continues until the end of your current billing period. Upon termination, your license ends and we may delete data after a reasonable retention period subject to legal obligations. We will provide export options where feasible.

15. Warranties and Disclaimers

THE SERVICE AND OUTPUTS ARE PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON‑INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE OR OUTPUTS WILL BE ERROR‑FREE, ACCURATE, OR UNINTERRUPTED.

16. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER BUSTLY NOR ITS SUPPLIERS WILL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL. OUR TOTAL LIABILITY FOR ALL CLAIMS IN THE AGGREGATE WILL NOT EXCEED THE AMOUNTS PAID BY YOU TO BUSTLY FOR THE SERVICE IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO LIABILITY. Some jurisdictions do not allow certain limitations; those limitations apply to you only to the extent permitted by law.

17. Indemnification

You will defend, indemnify, and hold harmless Bustly and its affiliates, officers, employees, and agents from and against claims, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from your use of the Service, Customer Content, Store Data, your Outputs or actions, or your violation of these Terms or applicable law.

18. IP; Feedback; Publicity

The Service is protected by IP laws. Except for the limited rights expressly granted, Bustly and its licensors retain all rights in the Service. If you submit ideas or feedback, you grant us a perpetual, worldwide, irrevocable, royalty‑free license to use them without restriction. We may use your name and logo to identify you as a customer unless you opt out by emailing support@bustly.shop.

19. Export and Sanctions

You must comply with applicable export control and sanctions laws. You will not use the Service in prohibited jurisdictions or for prohibited end uses.

20. Modifications

We may update these Terms from time to time. If we make material changes, we will notify you (e.g., by email or in‑app). Changes apply prospectively from the effective date. Your continued use after changes become effective constitutes acceptance.

21. Governing Law; Dispute Resolution

These Terms are governed by the laws of [choose: your state/country], without regard to conflict‑of‑law principles. [Optional] Any dispute will be resolved by binding arbitration in [city, jurisdiction] under [rules, e.g., AAA], on an individual basis (no class actions), except either party may seek injunctive relief in court for IP or security matters. 22. Miscellaneous

These Terms constitute the entire agreement, superseding any prior agreements. If any provision is unenforceable, the remainder remains in effect. Neither party is liable for delays due to events beyond reasonable control. You may not assign these Terms without our consent; we may assign to an affiliate or in connection with a merger or sale. No waiver is effective unless in writing.
